Terms of Service

Effective May 15th 2022 at 6:00PM MST these Terms of Service ("Terms") govern your access to and use of our Service available at netunzel.com, its adjoining websites on the various sub domains, APIs, notifications, ads, apps and commerce Service (collectively referred to as "Service"). By using the Service you agree to be bound by these Terms.

Who may Use the Service

The Service is available to everyone provided the conditions below are met:

You may use the Service only if you agree to form a binding contract with Netunzel.
You must be old enough by the laws of your locality to enter in legal contracts
You have not been barred from using the Service by Netunzel.

Privacy

By using the Service you agree and consent to our policies on privacy as described in our Privacy Policy at this location here. You agree that the Privacy Policy is an inseparable component of the Terms.

Content

You are responsible for the written text, articles, comments, audio, video and other information you upload to the Service (collectively "Content").

Any use or reliance on any Content or materials posted via the Service or obtained by you through the Service is at your own risk. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Service or endorses any opinions expressed via the Service.

Netunzel reserves the right to remove and modify Content including profile information and user names that violates these Terms.

You represent and warrant that you have obtained all rights, license and consents, permissions and authority necessary to grant the rights for any Content that is not original creations by you.

Grant of rights for status update, log post and comment Content types

You retain your rights to the Content you have provided to the Service. By submitting, posting or displaying Content on or through the Service, you grant us a worldwide, exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, translate, publish, transmit, display and distribute such Content in any and all media or distribution methods now known or later developed (these rights include,for example, curating, transforming, and translating). This license authorizes us to make your Content available to the rest of the world and to let others do the same. You agree that this license includes the right for Netunzel to provide, promote, and improve the Service and to make Content submitted to or through the Service available to other companies, organizations or individuals for the syndication, broadcast, distribution, promotion or publication of such Content on other media and Service, subject to our terms and conditions for such Content use.

Such additional uses of the Content by Netunzel, or other companies, organizations or individuals, may be made with or without compensation paid to you, and you agree that this would be done at the discretion of Netunzel at compensation amounts determined by Netunzel. You represent and warrant that you have obtained all rights, license and consents, permissions and authority necessary to grant the rights for any Content that are not original creations by you

Grant of rights for news, interviews, discussion, opinion, review and meme Content types

You assign all assignable copyright for the Content to Netunzel. The assignment described herein, is the widest assignment possible under applicable law, including but not limited to the irrevocable right to copy, distribute, use, sell, create derivative works of, translate, edit, modify, reproduce, in any technological format, existing today or to be developed in the future, including the right to sue for infringement, both for the past and the future, in the widest sense possible, as well as the right to prevent any third party from doing any of the foregoing.

You irrevocably commit that any submitted Content will not be re-used in any other material or article, and will not be assigned or licensed to any third party, in a manner that would constitute a breach of copyright of the Content. Once an article has been submitted on Netunzel, it may not be reproduced by you, in part or whole, through any other published source, whether written or online, without permission from Netunzel. If the article is reproduced (in any form and on any medium) without permission from Netunzel, your user account will be suspended and you will be banned from Netunzel. You acknowledge that although you may delete or change the post status of the Content, Netunzel may still retain the Content and retain the rights to it.

In the event Netunzel sells Content derived from you, Netunzel may, at its discretion, compensate you at a rate determined by Netunzel. Netunzel may also, at its discretion, use your name (the "Display name" in your account) as author of the Content.

Use of Service

You may use the Service as indicated in Help on this website, and only in compliance with these Terms. Netunzel may put limits on use and storage, at its discretion. Netunzel may stop permanently or temporarily providing the Service or any features within the Service, and retains the right to modify features and the Service.

By using the Service, you agree not to misuse the Service in general and agree not post inappropriate content as described in the Inappropriate Content section and not do any of the activities described in the Inappropriate Activities section and not to use the Service in a manner described in the Inappropriate Use section.

Inappropriate Content

The following Content is considered inappropriate and violations of the Terms of Use:

Content that does not fit the guidelines set for the category of Content as described in the Help;
Sexually explicit content and Content that shows male or female sexual organs, buttocks, or female breasts;
Information known to be false at the time of posting;
Content copied from another user's Content without crediting the original poster;
Content that calls for or promotes Inappropriate Activities or Inappropriate Use as described below.

Inappropriate Activities

The following activities are considered inappropriate and violations of the Terms of Use

Promoting, recruiting for and organizing for violence on civilians, civilian infrastructure and civilian property;
Promoting mass incarceration, surveillance, dehumanization and defamation based on nationality, ethnicity, religion or caste;
Criticism of people for their ethnicity, age, religion, caste, place of birth, disabilities, appearance and other factors they cannot change;
Promoting the supremacy of any group based on factors they cannot change, such as ethnicity, age, place of birth or appearance;
Promoting tribalism, ethnicism or nationalism;
Promoting human trafficking and slavery;
Mocking dead persons who are revered by any religious group;
Soliciting or promoting sexual activities;
Soliciting or promoting obscene activities or imagery;
Soliciting or promoting intoxicants, vaping, smoking, injecting or ingesting substances considered harmful to the human body by the general medical community;
Using automated Services that do not identify as an automaton on the profile;
Spamming
Posting content under astroturfing and social, state, political, corporate or industry propaganda campaigns
Posting content by hired Internet commentators for the purpose of manipulating public opinion and or disseminating disinformation
Ad hominem criticism or criticizing the person rather than their argument;
Organizing into a group to up vote or down vote, post comments, or harass users;
Doxing or posting personal information about users without their consent;
Posting ads and promotional materials, except in the area designated for ads
Posting links to inappropriate or harmful content on other websites;
Soliciting or promoting self-harm.

Inappropriate Use

The following activities are considered inappropriate use of the Service and violations of the Terms of Use:

Content-scraping without express permission from Netunzel;
Crawling content without adhering to the provisions in the robots.txt file or the appropriate Meta tags in individual pages;
Posting content via VPNs, proxies or similar technologies with the purpose of concealing or creating deception about the posts originating location;
Accessing the Service with the credentials of another person without their consent ;
Accessing, tampering with or modifying the non- public areas of the Service, Computer Systems, delivery networks and means of Netunzel and its service providers;
Probing, scanning and vulnerability- testing, breaching, circumventing any security or authenticating mechanisms of the Service and systems used to provide the Service;
Accessing the Service via any means other than the HTML interface available at Netunzel.com or via an authorized app that provides access to the Service;
Uploading malware, worms and viruses to the Service;
Forging TCP/IP packet headers and or sending false source indentifying information;
Accessing the internal form handlers, API and XHR calls of the Service except through the HTML interface from Netunzel.com or via an authorized app;
Disrupting or interfering with the Service by but not limited to spamming, flooding and overloading by any means;
Conducting studies, surveys, polls or experiments of any nature on the platform, its content, processes or its users without the explicit written permission of Netunzel;
Submitting content using automated scripts or programs except via the authorized procedure outlined in the Help for using bots;
Creating derivative works without consent of the original Content poster and Netunzel.

Liquidated Damages

If you undertake any of the activities described in the Inappropriate Activities, Inappropriate Use sections or post content that is described in the Inappropriate Content section on Netunzel, you acknowledge that you will have caused substantial harm to Netunzel, but that the amount of the harm would be extremely difficult to ascertain. As a reasonable estimation of such harm, you will pay Netunzel $50 for each kilobit (125 bytes) sent to, taken from, modified or erased from our servers in addition to any additional charge that may apply.This remedy shall be in addition to and not in lieu of, other appropriate relief upon dispute resolution or at law to which Netunzel may be entitled.

Ending These Terms

These terms are applicable when you use Netunzel and as long as you have Content on the Service. You may end these terms by deactivating your account, discontinuing use of the Service and removing the Content, or by contacting Netunzel and requesting account deactivation with the contact page.

Disclaimers, Limitations and Indemnifications

You access and use the Service and access any Content at your own risk.
By using the Service, you understand that you may be exposed to Content that might be offensive, harmful, inaccurate, patently false, inappropriate, deceptive or mislabeled. All Content is the sole responsibility of the person who submitted the Content. We may or may not monitor or control the Content posted on the Service. Netunzel does not take any responsibility whatsoever for any Content on the Service.
Netunzel has some features that let you post anonymously. By using these features you acknowledge that while Netunzel would do its utmost to protect your identify, Netunzel makes no guarantees about its ability to hide this information and that Netunzel may be forced to reveal it if subpoenaed by law enforcement.
You acknowledge that the content on Netunzel may contain slurs and violent content that may be disturbing for some users;
You acknowledge that Netunzel may not be aware of the laws of all the countries that its users access it from, and that Netunzel may not be bound by the laws in those countries and the Service or Content on the platform may not be in compliance with those laws. It is your responsibility to be aware of those laws and discontinue the use of the Service or part of the Service that may violate those laws;
You acknowledge that use of the Service is only for persons who are of legal age to enter into contracts in your locality and it is your responsibility to keep persons under your care who are under that age from accessing and using the Service;
You understand that our region resolution or geo-location system may not be accurate and may show the wrong location occasionally. You may report geo-location errors to us via the contact page here;
By using the Service you authorize Netunzel to transfer and store data that may include the information, you have submitted to us, outside of your home country for the purposes of conducting the Service;
We reserve the right to modify and or remove Content that violates these Terms or at the discretion of Netunzel without notice to any other party;
We reserve the right to block and remove accounts that violates these Terms or at the discretion of Netunzel without notice to any other party;
If you believe you Content rights have been violated, you may report it by following the procedure in the our Help
By using these Services, you agree to indemnify Netunzel, its parent and related companies, officers, directors, employees, agents and representatives and partners to the maximum extent possible.

General

Netunzel may revise these Terms from time to time. The most current version of the Terms will be available at netunzel.com/terms.

In the event that any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect. Netunzel's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Disputes

Any disputes must be brought via written notice to Netunzel within 180 days of the occurrence of the underlying event related to the dispute. Any notices related to events past the 180 day period will not be considered valid.

Both you and Netunzel ("Parties") agree to attempt initially to solve all claims, disputes or controversies arising under, out of or in connection with this Agreement by conducting good faith negotiations.

If the Parties are unable to settle the matter between them, the matter shall thereafter be resolved by alternative dispute resolution, starting with mediation and including, if necessary, a final and binding arbitration. Whenever a Party shall decide to institute arbitration proceedings, it shall give written notice to that effect to the other Party. The Party giving such notice shall refrain from instituting the arbitration proceedings for a period of sixty (60) days following such notice. During such period, the Parties shall make good faith efforts to amicably resolve the dispute without arbitration. Any arbitration hereunder shall be conducted under the rules of the American Arbitration Association. Each such arbitration shall be conducted by a panel of three arbitrators: one arbitrator shall be appointed by the Company, one arbitrator by you and the third shall be appointed by the American Arbitration Association. Any such arbitration shall be held in Boulder, Colorado. The arbitrators shall have the authority to grant specific performance. Judgment upon the award so rendered may be entered in any court having jurisdiction or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be. In no event shall a demand for arbitration be made after the date when the institution of a legal or equitable proceeding based on such claim, dispute or other matter in question would be barred under this Agreement or by the applicable statute of limitation. Any fees that arise from the dispute resolution process including attorney fees, court fees, arbitrators' fees, and travel and accommodation costs for both parties must be shared by both parties equally.
